1. Scope

These Terms govern your use of the Mixmotion website and services. By engaging us, you agree to these Terms.

2. Proposals & fees

Proposals outline scope, deliverables, timelines, and fees. Work begins upon written acceptance and/or invoicing terms agreed in writing.

3. Client obligations

• Provide timely access to websites, tools, and materials.
• Ensure any content supplied does not infringe third‑party rights or applicable laws.
• Designate a single point of contact for approvals.

4. Intellectual property

Upon full payment, you receive a worldwide, non‑exclusive license to deliverables created for you. Pre‑existing materials and third‑party components remain the property of their respective owners.

5. Acceptable use

No unlawful, misleading, or spam activities. We reserve the right to refuse tactics that violate search engine guidelines.

6. Payments

Unless otherwise stated, invoices are due within 14 days. Late payments may pause work and incur interest at the maximum rate permitted by law.

7. Confidentiality

Each party must protect the other’s confidential information and use it only for the project.

8. Warranties & disclaimers

We provide services with reasonable care and skill. Search rankings and traffic fluctuate and are not guaranteed.

9. Liability

To the maximum extent permitted by law, Mixmotion’s liability is limited to the amount paid by you for the services giving rise to the claim. We are not liable for indirect or consequential losses.

10. Termination

Either party may terminate for material breach not cured within 14 days of notice. You pay for work performed up to termination.

11. Governing law

These Terms are governed by the laws of Lithuania. Courts of Vilnius have exclusive jurisdiction.
